About the job

This position is listed on behalf of a partner company, who manages all applications and next steps. Our partner is looking for a Senior Counsel based in the United States.

We are seeking an accomplished Senior Counsel to provide strategic legal guidance across complex corporate transactions, mergers and acquisitions, and corporate governance matters. In this role, you will support a diverse portfolio of manufacturing and technology-related businesses, helping navigate domestic and cross-border legal challenges. You will oversee transactions from initial evaluation and due diligence through negotiation, closing, and post-transaction integration. The position also involves managing corporate entity compliance, advising on commercial agreements, and strengthening legal processes across multiple jurisdictions. Working closely with senior leadership and cross-functional teams, you will deliver practical, business-oriented legal solutions while proactively managing risk. This is an opportunity to make a meaningful impact in a dynamic, multinational environment that values collaboration, operational excellence, and innovation.

Accountabilities

Lead and support complex domestic and international corporate transactions, including mergers and acquisitions, divestitures, joint ventures, equity investments, reorganizations, spin-offs, and strategic partnerships.

•

Draft, review, negotiate, and manage a broad range of transactional documents, including purchase agreements, letters of intent, confidentiality agreements, disclosure schedules, transition services agreements, financing documents, shareholder agreements, and intellectual property licenses.

•

Manage the full M&A lifecycle, including deal evaluation, transaction structuring, multidisciplinary due diligence, negotiations, regulatory filings, closing, and post-closing implementation.

•

Advise on corporate governance matters, including board and shareholder resolutions, meeting minutes, written consents, entity formation, organizational documents, and ongoing corporate recordkeeping.

•

Oversee annual and periodic corporate filings across all 50 U.S. states where applicable, as well as relevant Canadian corporate reporting and transparency obligations.

•

Provide day-to-day legal support for manufacturing operations, including commercial contracts, technology and intellectual property licensing, joint development arrangements, supply agreements, real estate matters, logistics services, and consulting agreements.

•

•

Coordinate with tax, finance, human resources, and other business functions on transaction structuring, working capital, equity compensation, employment transitions, and integration planning.

•

Manage external legal counsel and specialized advisors, ensuring effective coordination, appropriate cost management, and timely execution of legal projects.

•

Develop and improve legal templates, transaction playbooks, due diligence procedures, governance processes, and contract management practices to enhance efficiency and reduce risk.

•

Monitor legislative, regulatory, and judicial developments affecting corporate law, M&A, securities, competition, trade, and related legal matters, translating changes into actionable business guidance.

•

Prepare legal analyses, management reports, and recommendations, and deliver training on corporate governance, M&A processes, entity management, representations and warranties insurance, contract management, and relevant regulatory requirements.

•

Support pre-litigation matters, dispute resolution, government inquiries, investigations, and settlements, engaging external counsel when specialized expertise is required.

Requirements

•

•

Active license to practice law and good standing with the bar in the state where the candidate works.

•

At least 12 years of relevant legal experience in a law firm and/or in-house legal department, with a strong focus on corporate law, M&A, and corporate governance; multinational company experience is preferred.

•

•

Ability to interpret complex legal issues and provide clear, concise, commercially practical advice aligned with business objectives.

•

Excellent legal drafting, research, negotiation, presentation, and communication skills, including the ability to prepare reports, training materials, and executive-level recommendations.

•

Strong project management, analytical, organizational, and problem-solving skills, with the ability to coordinate multiple workstreams, manage deadlines, and maintain accountability.

•

Proven ability to work independently while collaborating effectively with multidisciplinary, multicultural teams across functions, geographies, and time zones.
